SOCAR Completes Italiana Petroli Acquisition After EU Green Light

Azerbaijan's state oil company SOCAR has completed the acquisition of a 99.82% stake in Italiana Petroli (IP) from API Holding, following approval from the European Commission under EU merger rules. The transaction, cleared in February via a simplified procedure, was deemed to raise no competition concerns within the European Economic Area due to limited horizontal and vertical overlaps between the two firms. No remedies were imposed.

Strategic Expansion in Italy

For SOCAR, the deal marks a significant expansion of its downstream operations in Italy, a key European market. The company already supplies crude via the Baku–Tbilisi–Ceyhan pipeline and contributes to gas diversification through the Southern Gas Corridor. With this acquisition, SOCAR gains control over IP's integrated network of refineries, storage facilities, and around 4,500 fuel stations across Italy, alongside refining capacity of roughly 10 million tonnes per year. IP also operates in aviation fuel, lubricants, and bitumen.

Rovshan Najaf, President of SOCAR, described the transaction as "an important milestone" in energy ties between Azerbaijan and Italy. "It reflects the natural progression of a strategic partnership built on mutual trust and sustained economic cooperation," he said. He emphasised that SOCAR's approach in Italy is "grounded in continuity, operational stability and long-term development," and that integrating IP's network and expertise would reinforce SOCAR's presence in Europe while preserving the Italian company's operational strengths.

Energy Security and EU Diversification

Analysts view the deal as strategically significant amid the European Union's ongoing efforts to diversify energy supplies and reduce reliance on Russian imports. Mahammad Mammadov, an energy expert at the Topchubashov Center in Baku, said the European Commission's approval underscores Azerbaijan's position as a reliable energy partner for Brussels. "Beyond expanding SOCAR's commercial footprint, the development positions Baku not merely as a supplier, but as a structural pillar of Europe's energy security architecture," he added.

Italy, which has deepened ties with Azerbaijan in recent years—as highlighted by Prime Minister Giorgia Meloni's visit to Baku amid Middle East instability—is one of the EU member states most exposed to fossil fuel shocks. The acquisition is seen as a vote of confidence in Italy's energy sector and investment climate. Michele Vitiello, Secretary General of the World Energy Council Italy, noted that the Commission's assessment confirmed the deal's alignment with EU market principles. "This acquisition highlights the attractiveness of Italy's energy sector for foreign investment and signals confidence in the country's stability," he said.

The deal also reinforces Italy's role in Europe's energy transition, as the country has urged a united European approach to energy policy. SOCAR's integration of IP is expected to support sustainable growth and industrial reliability, according to Najaf.

Next Steps: Integration and Market Presence

With regulatory hurdles cleared, SOCAR will now focus on integrating IP into its international portfolio. The acquisition supports SOCAR's broader strategy to expand its integrated energy value chain across Europe, building on its existing role as a major crude supplier to Italy. The company aims to preserve IP's operational strengths while leveraging its network to strengthen its position in the European market.

Founded more than 90 years ago, Italiana Petroli is one of Italy's largest energy and mobility companies. The deal is expected to enhance competition and stability in Italy's downstream sector, providing a long-term partner for the country's energy needs.
